1. Acceptance of these Terms
These Terms of Use ("Terms") govern access to and use of IoT Manager.
By creating an account, accessing IoT Manager, joining an organization, or using the Android application, website, APIs, dashboards, or related services, you agree to these Terms and to the IoT Manager Privacy Policy.
If you use IoT Manager on behalf of a company or other organization, you represent that you have authority to accept these Terms on behalf of that organization when such authority is required.
If you do not agree to these Terms, you must not use IoT Manager.

In these Terms, "Luminatti," "we," "us," and "our" refer to Luminatti Sistemas Informáticos, C.A.
3. What IoT Manager does
IoT Manager is an Internet of Things ("IoT") monitoring platform designed to receive, process, store, and display information from connected devices and systems.
Features may include:
- Organizations and projects.
- Device registration and management.
- Datastreams.
- Telemetry ingestion.
- Dashboards and configurable widgets.
- Real-time or near-real-time visualization.
- Historical data.
- Alerts and notifications.
- Member, role, and permission management.
- APIs and integration mechanisms.
Available features, limits, capacity, data retention, and performance may vary by plan, contract, account type, or product version.
4. Eligibility and user accounts
You must be at least 18 years old and legally capable of entering into these Terms to use IoT Manager as an individual user.
You are responsible for:
- Maintaining control of your account.
- Protecting the devices and authentication methods you use to access IoT Manager.
- Keeping account information reasonably current.
- Promptly notifying us if you become aware of unauthorized access.
- Ensuring that your use of the service complies with applicable law and these Terms.
Accounts are intended for the person to whom they are issued. You must not deliberately impersonate another person or use another user's account without authorization.
5. Organizations, roles, and permissions
IoT Manager may allow users to collaborate through organizations.
An organization may control its:
- Members.
- Owners and administrators.
- Projects.
- Devices.
- Dashboards.
- Roles.
- Permissions.
- Operational data.
Organization owners and administrators are responsible for granting appropriate permissions and removing access when it is no longer required.
Actions taken by a properly authorized user are treated as actions taken under the organization's authority, unless the organization has reported that access as unauthorized and Luminatti has had a reasonable opportunity to act.
6. Free tier and paid plans
IoT Manager provides a free tier intended to remain available without a recurring subscription fee, subject to the features, limits, fair-use rules, and eligibility conditions published for that tier.
The free tier may have limits related to:
- Number of projects.
- Number of devices.
- Number of members.
- Telemetry volume.
- Update frequency.
- Historical retention.
- Storage or processing capacity.
- Performance.
- Features.
- Support.
We may also offer paid plans with higher limits, additional capabilities, and/or enhanced performance.
Current plan features and prices are published through the official IoT Manager website or presented as part of a business agreement.
7. Billing, renewal, cancellation, and price changes
Paid plans are contracted through the official IoT Manager website:

Paid plans may be offered on a monthly or annual billing cycle.
Unless the purchase flow or applicable agreement states otherwise, recurring subscriptions automatically renew for the selected billing period until cancelled.
You may cancel a subscription at any time. Unless otherwise stated, cancellation takes effect at the end of the already-paid billing period, and access to paid features continues until that date.
After a paid plan expires or is cancelled, the organization may move to the free tier if its usage fits within the free-tier limits. If usage exceeds those limits, some data, devices, projects, features, or capabilities may need to be reduced, disabled, archived, or otherwise brought within the applicable limits before normal free-tier operation can continue.
We may change paid-plan prices or plan structures. When a change affects an existing recurring subscription, we will provide reasonable advance notice when required by law or commercially appropriate. A price change will not retroactively alter charges already paid for a completed billing period.
Applicable taxes may be added where required.
8. Refunds
IoT Manager allows refund requests for paid subscriptions.

Refund eligibility may depend on the circumstances of the purchase, the terms shown at checkout, the amount of service already used, technical incidents, duplicate or erroneous charges, abuse or fraud indicators, and applicable law.
Where approved, a refund may be full or partial.
Cancelling a subscription does not by itself guarantee a refund for a billing period that has already begun or been used.
Any refund terms expressly presented at the time of purchase, or included in a separate written agreement with the customer, take precedence over this general section where they provide more specific terms.
Nothing in these Terms limits refund rights that cannot legally be waived.
9. Devices, telemetry, and data quality
IoT Manager receives and displays information supplied by devices, integrations, networks, and systems controlled or selected by the customer.
Luminatti generally does not control:
- Sensor accuracy.
- Sensor calibration.
- Device installation.
- Electrical or mechanical condition of customer equipment.
- Local network quality.
- Internet connectivity.
- Third-party gateways.
- Transmission frequency.
- Data entered or generated by customer-controlled integrations.
- The real-world meaning assigned to a datastream.
A value shown in IoT Manager can only be as timely and reliable as the systems that produced and transmitted it.
Customers must independently validate measurements and device behavior whenever decisions involve safety, compliance, financial exposure, material operational consequences, or other significant risk.
10. Future device-control capabilities
At present, IoT Manager's core function is to receive and present telemetry.
Future versions may introduce functionality that allows authorized users or customer-defined automation rules to send commands to compatible devices.
Such functionality may include, for example:
- Manual control commands.
- On/off state changes.
- Parameter adjustments.
- Setpoints.
- Rule-based automation.
- Commands triggered by customer-defined conditions.
If these capabilities become available, customers will be responsible for determining:
- Which devices may receive commands.
- Which users may issue commands.
- Which automation rules are appropriate.
- Which operating limits must be enforced.
- Which independent physical, electrical, mechanical, or software safeguards are required.
Additional terms, warnings, permissions, or technical safeguards may apply to command-and-control features when they are introduced.
11. Customer responsibilities
Customers are responsible for:
- Proper installation and maintenance of connected devices.
- Appropriate calibration and validation of sensors.
- Reliable and secure network connectivity.
- Correct project, device, datastream, threshold, and alert configuration.
- Appropriate assignment of roles and permissions.
- Maintaining independent backups where required by the customer's risk profile.
- Verifying important information before relying on it.
- Maintaining appropriate physical and operational safety systems.
- Ensuring that the data transmitted to IoT Manager may lawfully be collected and processed.
- Complying with rules, standards, and laws applicable to the customer's own equipment and operations.
IoT Manager does not replace inspections, maintenance, certified instrumentation, safety procedures, or operational controls that are required for the equipment being monitored.
12. Acceptable use
You must not use IoT Manager to:
- Violate applicable law or the rights of others.
- Access accounts, organizations, devices, projects, or systems without authorization.
- Distribute malware or malicious code.
- Conduct or facilitate denial-of-service attacks.
- Probe, scan, or exploit the service outside authorized security testing.
- Circumvent technical limits or access controls.
- Interfere materially with other customers or the operation of the service.
- Collect or obtain information you are not authorized to access.
- Infringe intellectual property, privacy, confidentiality, or other rights.
- Use the service to compromise third-party devices or networks.
- Send intentionally harmful, fraudulent, or deceptive data.
- Resell, sublicense, or commercially exploit IoT Manager in a manner not authorized by your plan or written agreement.
Reasonable automated use through documented APIs or supported device interfaces is permitted subject to plan limits, rate limits, security requirements, and applicable documentation.
13. Account and service security
You are responsible for taking reasonable steps to protect access to your account and organization.
Organization owners and administrators should apply least-privilege access and remove users who no longer require access.
You must notify us promptly if you reasonably believe that an account, credential, project, organization, or integration has been compromised.
You must not attempt to disable, evade, or interfere with security mechanisms used by IoT Manager.
14. Customer data and organization data
As between Luminatti and the customer, the customer retains its rights in the telemetry and other data it provides to IoT Manager.
Luminatti does not acquire ownership of customer telemetry merely because it is received, stored, processed, backed up, or displayed through IoT Manager.
The customer grants Luminatti the limited rights necessary to operate the service, including the ability to:
- Receive data.
- Store it.
- Process it.
- Create technical copies and backups.
- Transmit it within the service.
- Display it to authorized users.
- Generate alerts and derived operational information.
- Perform other processing necessary to provide the features requested by the customer.
Data belonging to an organization remains associated with the organization even if an individual member later leaves or deletes their personal account.
15. Intellectual property
IoT Manager is software developed for general commercial use.
Except for customer data and third-party components, Luminatti or its licensors retain all rights, title, and interest in and to IoT Manager, including, as applicable:
- Source and object code.
- Proprietary APIs.
- User-interface designs.
- Product architecture.
- Trademarks and logos.
- Documentation.
- Internal tools.
- Algorithms and implementation methods.
- Updates and improvements.
These Terms provide a right to use the service; they do not transfer ownership of IoT Manager or its underlying technology.
Third-party libraries, frameworks, and components remain subject to their respective licenses and terms.
16. Availability, performance, maintenance, and support
We work to keep IoT Manager available and reliable, but no Internet-connected service can guarantee uninterrupted operation.
Interruptions or degradation may occur because of:
- Maintenance.
- Updates.
- Infrastructure failures.
- Network failures.
- Third-party-provider incidents.
- Cyberattacks or security events.
- Capacity constraints.
- Events outside our reasonable control.
The free tier does not include a guaranteed service-level agreement ("SLA") unless we expressly state otherwise.
A paid plan also does not include a specific SLA merely because it is paid. Any guaranteed availability, support response time, service credit, or other SLA commitment applies only when it is expressly included in the applicable plan description, order, contract, or separate written agreement.
We may perform urgent maintenance without advance notice when reasonably necessary to protect security, data integrity, or service stability.
Support availability and response targets may vary by plan or contract.
17. Alerts and notifications
IoT Manager may generate alerts based on incoming data, thresholds, customer configuration, device state, and platform rules.
Alerts and notifications may be delayed, duplicated, not delivered, or based on delayed or inaccurate upstream data because their operation depends on multiple systems, including customer devices, networks, Internet connectivity, third-party notification infrastructure, and device operating systems.
Customers must not rely on an IoT Manager push notification, dashboard, or remote alert as the sole safety mechanism where failure or delay could cause injury, loss of life, environmental harm, serious equipment damage, or other unacceptable risk.
18. Third-party services and infrastructure
IoT Manager relies on third-party services and infrastructure, which may include authentication, notification delivery, network connectivity, data-center infrastructure, backup systems, and payment processing.
An incident affecting a third-party service may temporarily affect IoT Manager even when the affected system is not directly controlled by Luminatti.
Third-party products selected or connected by a customer remain subject to their own terms and are the customer's responsibility unless a separate agreement states otherwise.
19. Industrial environments and safety-critical use
IoT Manager may be used to observe data originating from industrial, commercial, or technical environments.
Unless Luminatti expressly agrees otherwise in a separate written contract, IoT Manager is not designed or certified as a safety-critical control system, emergency shutdown system, life-safety system, medical life-support system, or the sole means of preventing an accident or hazardous condition.
IoT Manager must not be used as a substitute for appropriate:
- Electrical protection.
- Emergency-stop systems.
- Safety interlocks.
- Safety PLCs.
- Certified alarms.
- Fire-detection or suppression systems.
- Mechanical safeguards.
- Required inspections.
- Mandatory operational procedures.
- Independent safety controls.
This limitation also applies to future remote-control or automation capabilities.
Customers are responsible for designing their systems so that the failure, delay, loss of connectivity, or incorrect operation of IoT Manager does not create an unacceptable safety hazard.
20. Disclaimer of warranties
To the maximum extent permitted by applicable law, IoT Manager is provided on an "as is" and "as available" basis.
Luminatti does not warrant that:
- The service will be uninterrupted or error-free.
- Every alert or notification will be delivered.
- Every device or third-party integration will remain compatible.
- Telemetry supplied by customer-controlled devices will be accurate.
- The service will satisfy every customer-specific regulatory, industrial, or operational requirement.
Nothing in this section excludes warranties or rights that cannot legally be excluded.
21. Limitation of liability
To the maximum extent permitted by applicable law, Luminatti will not be liable for indirect, incidental, special, exemplary, punitive, or consequential damages, or for loss of profits, revenue, business opportunity, goodwill, or data, arising out of or related to IoT Manager.
Without limiting the above, Luminatti is not responsible for losses caused by matters outside its reasonable control, including:
- Failed or miscalibrated sensors.
- Customer device failures.
- Incorrect telemetry supplied by customer systems.
- Loss of connectivity.
- Delayed telemetry.
- Delayed or undelivered notifications.
- Customer configuration errors.
- Actions taken by authorized organization users.
- Third-party-service failures.
- Use of IoT Manager contrary to these Terms or outside its intended purpose.
Unless applicable law requires otherwise or a separate written agreement provides a different limitation, Luminatti's aggregate liability arising from a paid IoT Manager service will not exceed the amount actually paid to Luminatti for that IoT Manager service during the twelve months immediately preceding the event giving rise to the claim.
For users who have only used the free tier, liability is limited to the maximum extent permitted by applicable law.
Nothing in these Terms limits liability that cannot legally be limited or excluded.
22. Indemnity
To the extent permitted by applicable law, a customer using IoT Manager for business or organizational purposes agrees to defend, indemnify, and hold Luminatti harmless from third-party claims, liabilities, losses, and reasonable costs arising from:
- The customer's unlawful use of IoT Manager.
- Data the customer was not authorized to collect, transmit, or process.
- Customer-controlled devices, systems, or integrations.
- The customer's violation of third-party rights.
- The customer's material breach of these Terms.
This obligation does not apply to the extent a claim results directly from Luminatti's own unlawful conduct or from liability that cannot be shifted under applicable law.
23. Suspension
We may restrict or suspend access when reasonably necessary because of:
- A material violation of these Terms.
- Illegal activity.
- A security threat.
- Fraud or abuse.
- An attack against our infrastructure or another customer.
- Non-payment of an amount validly due.
- Usage that materially threatens service stability.
- A legal requirement.
Where circumstances permit, we will make reasonable efforts to notify the affected customer and explain the reason for the restriction or suspension.
24. Termination and deletion
Users may request deletion of their personal accounts in accordance with the IoT Manager Privacy Policy.
Organization owners or authorized administrators may request deletion of organization-controlled data.
Valid deletion requests are normally subject to a 30-day period before permanent deletion.
Deleting an individual user's account does not delete data controlled by an organization merely because that user previously had access to it.
After termination or cancellation of a paid plan, access to paid capabilities may end or be reduced according to the applicable billing period and plan limits.
Provisions that by their nature should survive termination, including intellectual-property provisions, limitations of liability, payment obligations already incurred, and dispute provisions, remain in effect as applicable.
25. Changes to IoT Manager
IoT Manager is an evolving service. We may add, modify, replace, or discontinue features, interfaces, limits, integrations, or technical components.
We will use reasonable efforts to avoid unnecessary disruption and, when commercially appropriate, provide notice of material changes that significantly affect active customers.
Nothing in these Terms requires us to maintain a particular feature indefinitely unless a separate written agreement expressly provides otherwise.
26. Changes to these Terms
We may update these Terms to reflect product changes, commercial changes, legal requirements, security needs, or other legitimate reasons.
The current version will be published at:
https://iot.luminatti.online/terms
The "Last updated" date identifies the latest revision.
Where a change is material, we will take reasonable steps to notify affected users when appropriate.
Continued use of IoT Manager after revised Terms take effect constitutes acceptance of the revised Terms where permitted by applicable law.
27. Governing law and jurisdiction
These Terms are governed by the laws of the Bolivarian Republic of Venezuela, without prejudice to mandatory laws that may apply to a particular user or transaction.
The parties should first attempt in good faith to resolve disputes through direct communication.
If a dispute cannot be resolved informally, it will be submitted to the competent courts of Venezuela, unless mandatory applicable law requires otherwise.
28. Force majeure
Luminatti is not responsible for delay or failure caused by events beyond its reasonable control, including natural disasters, widespread Internet or telecommunications failures, power-grid failures, acts of government, war, civil disturbance, labor disruption, cyberattacks of exceptional scale, data-center incidents, or failures of critical third-party infrastructure that could not reasonably have been prevented.
29. General provisions
If any provision of these Terms is held invalid or unenforceable, the remaining provisions remain in effect to the maximum extent permitted by law.
Failure to enforce a provision immediately does not waive the right to enforce it later.
A customer may not assign or transfer its rights under these Terms in a manner that materially affects Luminatti without our consent, except where applicable law provides otherwise.
Luminatti may use affiliates, contractors, and service providers to perform parts of the service while remaining responsible for its own obligations under these Terms.
A written enterprise agreement, order form, statement of work, or other specific agreement between Luminatti and a customer may establish different terms. Where such an agreement expressly conflicts with these Terms on a negotiated subject, the specific written agreement controls for that subject.
These Terms, together with the Privacy Policy and any applicable specific written agreement, form the agreement governing use of IoT Manager.
